Welcome to Modus. These Terms of Service ("Terms") govern your use of the Modus mobile application and related services (collectively, the "Service") operated by Modus Solutions, LLC ("Modus," "we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Modus is a personal context engine that allows you to declare your identities, commitments, priorities, and experiences, and to surface that context to supported AI tools through the Model Context Protocol (MCP). The Service includes the Modus mobile application, the Modus MCP server, and related features such as check-ins, patterns, modes, and integrations with third-party services.
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.
To use the Service, you must create an account using Apple Sign-In, Google Sign-In, or email and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You retain full ownership of all content you provide to the Service, including your identities, commitments, check-in data, modes, emphasis settings, and any other personal context you declare ("Your Content"). We do not claim any ownership interest in Your Content.
By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you. This license ends when you delete Your Content or your account.
The Service allows you to connect your Modus context to third-party AI tools (such as Claude and ChatGPT) through the Model Context Protocol. When you establish an MCP connection, the connected AI tool can access Your Content in a read-only capacity. Modus does not control what third-party AI tools do with the context they receive. Your use of third-party AI tools is governed by their respective terms of service and privacy policies.
You can disconnect any MCP connection at any time, which immediately ends that AI tool's access to Your Content through Modus.
If you choose to connect Apple Health, Modus may read health-related data such as sleep, workout, and activity information. This data is used solely to provide the Service to you. Health data accessed through Apple Health is handled in accordance with Apple's HealthKit guidelines and our Privacy Policy. We do not sell health data or use it for advertising purposes.
You agree not to use the Service to: violate any applicable law or regulation; infringe on the rights of others; attempt to gain unauthorized access to the Service or its related systems; interfere with or disrupt the integrity or performance of the Service; reverse engineer, decompile, or disassemble any part of the Service; or use the Service for any purpose other than its intended personal use.
The Service, including its design, features, code, documentation, and branding, is owned by Modus Solutions, LLC and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without our prior written consent.
Certain features of the Service may require a paid subscription. If you purchase a subscription, you agree to pay the applicable fees as displayed at the time of purchase. Subscriptions are billed through the Apple App Store and are subject to Apple's terms regarding in-app purchases, renewals, and cancellations. You can manage or cancel your subscription through your device's subscription settings at any time.
You may delete your account at any time through the Service. We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe such action is necessary to protect the Service or other users. Upon termination, your right to use the Service ceases immediately. We will delete Your Content in accordance with our Privacy Policy.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
Modus is a personal context tool. It is not a medical device, a therapeutic service, or a substitute for professional advice of any kind. Insights and patterns surfaced by the Service are observational and should not be relied upon for medical, financial, or other professional decisions.
To the maximum extent permitted by applicable law, Modus Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability. Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim, or fifty dollars ($50), whichever is greater.
You agree to indemnify and hold harmless Modus Solutions, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.
